Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of any CliqStack AI website, software, dashboard, communications, or services, including but not limited to database reactivation campaigns, the AI Employee, automated follow-up workflows, and related tools (collectively, the “Services”), provided by CliqStack, LLC d/b/a CliqStack AI (“CliqStack AI,” “Company,” “we,” “us,” or “our”).

By accessing or using any CliqStack AI Service, you (“Client,” “you,” or “your”) agree to be bound by these Terms, our Privacy Policy, and any additional terms presented in connection with a specific Service.

If you do not agree, do not use the Services.

Use of the Website

Visitors may use the click stack website for general information, diagnostic tools and reaching out via contact forms or applications, provided such use complies with all relevant laws.

Users are expected to act in good faith when using the site. This means refraining from actions that disrupt platform functionality, providing false or deceptive information, or otherwise undermining the security reliability or trustworthiness of the network.

Website Content

Content on the CliqStack website, whether it be educational material, diagnostic guidance, or service follow up, is offered to inform not to fulfill any promise. Nothing published here guarantees any particular business result financial return return or delivery timeline. Any diagnostics or recommendations are meant to help guide your decision making process.

Description of Services

CliqStack AI installs and manages automated growth systems for service businesses, built on the HighLevel (GoHighLevel) platform. Our Services may include:

•      Database Reactivation — automated SMS, email, and/or voice campaigns designed to re-engage a Client's existing contact list;

•      AI Employee — an AI-driven conversational assistant that engages leads and customers via chat, text, and/or voice on the Client's behalf; and

•      Automated Follow-Up — workflow automation, drip sequences, appointment reminders, and related tools that follow up with leads and customers.

CliqStack AI does not provide legal, financial, or marketing-performance guarantees, and does not control a Client's pricing, scheduling, staffing, or service delivery. Our platform is built on and hosted within HighLevel/GoHighLevel, a third-party software provider; CliqStack AI is an independent agency and is not owned by, affiliated with, or endorsed by HighLevel Inc.

Client Responsibilities

You are responsible for:

•      providing accurate business and account information;

•      maintaining proper staffing, scheduling, and follow-through on leads generated or captured by the Services;

•      complying with all applicable laws and regulations, including those governing telemarketing and electronic communications;

•      obtaining and documenting proper consent from your customers and contacts before they are contacted through the Services; and

•      reviewing and acting on messages, leads, and conversations captured or generated by the Services.

You acknowledge that missed internal follow-up, staffing shortfalls, and business decisions made in response to Service output remain your responsibility, not ours.

SMS, Email, and Voice Messaging Terms and Compliance

Program Description

CliqStack AI-powered messaging programs send service-related messages on the Client's behalf, such as reactivation outreach, appointment confirmations, reminders, and follow-up messages, based on the Client's contact list and campaign configuration.

Consent

•      SMS and email messages are sent only to contacts for whom the Client represents that valid consent exists;

•      Clients are solely responsible for obtaining, documenting, and retaining timestamped records of consent for every contact uploaded to the platform;

•      CliqStack AI does not independently verify the consent status of contacts a Client uploads.

Opt-Out

•      Contacts may reply STOP at any time to opt out of messages;

•      Opt-out requests are honored within 24 hours;

•      Re-enrollment of an opted-out contact requires a new, valid opt-in.

Message Frequency and Rates

•      Message frequency varies based on campaign activity;

•      Message and data rates may apply;

•      Carriers are not responsible for delayed or undelivered messages.

Supported Carriers

Services are designed to operate with major U.S. carriers, including AT&T, Verizon, T-Mobile, and regional providers, though delivery cannot be guaranteed on every network.

Age Restriction

Contacts enrolled in messaging programs through the Services must be 18 years of age or older.

AI-Generated Content and Automated Communications

The AI Employee and other automated features use artificial intelligence and pre-built automation logic to generate responses and take actions, including responding to inbound chat, text, and voice inquiries. These responses are generated automatically and, unless the Client has enabled human review, are not reviewed by a person before being sent. CliqStack AI does not guarantee that every automated response will be accurate, complete, on-brand, or appropriate in every situation. Clients are responsible for reviewing and approving scripts, prompts, and workflows before deployment, and for monitoring AI Employee conversations on an ongoing basis. CliqStack AI systems support business operations but do not replace human judgment or management, and CliqStack AI is not liable for statements made by the AI Employee or other automated tools that the Client configured, approved, or failed to review.

Data Use and Privacy

All data collected or processed through the Services is handled according to our Privacy Policy at [privacy policy URL]. CliqStack AI does not sell or rent personal data. By using the Services, you grant CliqStack AI permission to process Client and contact data solely for the purpose of delivering and improving the Services.

Intellectual Property

All CliqStack AI systems, workflows, software, designs, automation logic, documentation, and other materials are owned by CliqStack AI or its licensors. Subject to these Terms and your account being in good standing, you receive a limited, non-transferable, revocable license to use the Services during your active subscription. You may not:

•      copy, reverse engineer, or attempt to extract the underlying logic of the Services;

•      resell, sublicense, or white-label the Services without our prior written consent; or

•      use the Services outside their intended scope.

User Content and Submissions

By submitting data, content, scripts, or configuration information to CliqStack AI, you grant us a limited license to use it solely to operate, support, and improve the Services. You represent that you have the legal right to provide such content and that it does not infringe any third party's rights.

Fees and Billing

Fees are billed as agreed in your service agreement or order form. Subscriptions renew automatically each billing period unless canceled in accordance with your agreement. Failure to pay may result in suspension or termination of the Services. All fees are non-refundable unless explicitly stated otherwise in writing.

Disclaimers

The Services are provided “as is” and “as available.” To the fullest extent permitted by law:

•      we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement;

•      we do not guarantee uptime, lead volume, conversion rates, revenue, or any other business outcome; and

•      we do not guarantee uninterrupted or error-free operation of the Services.

Limitation of Liability

To the maximum extent permitted by law, CliqStack, LLC will not be liable for:

•      lost revenue or profits;

•      missed jobs, appointments, or opportunities;

•      business interruption;

•      customer disputes; or

•      indirect, incidental, special, or consequential damages arising from the Services.

Our total liability arising out of or related to these Terms or the Services will not exceed the fees paid by you to CliqStack AI in the [thirty (30)] days preceding the event giving rise to the claim.

Indemnification

You agree to indemnify, defend, and hold harmless CliqStack, LLC, its officers, employees, and partners from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from:

•      your business operations;

•      your customer or contact communications;

•      your failure to obtain or document proper consent;

•      your violation of any applicable law or regulation; or

•      your misuse of the Services.

Third-Party Services

The Services integrate with third-party platforms and providers, including HighLevel/GoHighLevel, telephony and SMS carriers, and email service providers. We are not responsible for:

•      third-party outages;

•      changes to external APIs or platforms; or

•      carrier behavior or delivery issues.

Your use of any third-party service accessed through the Services is subject to that third party's own terms.

Suspension and Termination

We may suspend or terminate your access to the Services if:

•      these Terms are violated;

•      your use poses legal, reputational, or operational risk to CliqStack AI or third parties, including messaging carriers;

•      payment is not received when due; or

•      your use of the Services is unlawful or abusive.

Upon termination, your access to the Services ceases immediately, subject to any data export terms in your service agreement.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in Illinois, except that either party may seek injunctive relief in a court of competent jurisdiction to protect its intellectual property or confidential information.

Changes to Terms

We may update these Terms periodically. Changes are effective when posted with an updated Effective Date. Continued use of the Services after changes are posted constitutes acceptance of the updated Terms.
